Please read these Terms of Service carefully. By creating a Rally Text account or using the service, you agree to be bound by these terms. If you are using Rally Text on behalf of an organization, you represent that you have authority to bind that organization.

1. Agreement to Terms

These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," "User") and Frequency 42 LLC ("Rally Text," "we," "us," "our") governing your use of the Rally Text SMS communication platform and related web services (collectively, the "Service").

By accessing or using the Service you confirm that you are at least 18 years old, that you have read and understood these Terms, and that you agree to be bound by them together with our Privacy Policy.

2. The Service

Rally Text provides SMS-based team communication tools for youth sports organizations, including:

  • Outbound broadcast messaging from coaches to team members
  • Two-way SMS communication between coaches and families
  • Keyword-based commands for broadcasts, attendance tracking, and practice management
  • Safe Sport compliance features including guardian auto-CC on athlete messages
  • A2P 10DLC compliant messaging infrastructure
  • Optional add-ons: Absence Tracker, Calendar & Reminders, Practice Summaries, File Attachments
  • Web dashboard for team management, message logs, and audit exports

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue features at any time with reasonable notice.

3. Accounts & Eligibility

Eligibility

You must be at least 18 years old and have the legal authority to enter into contracts to create a Rally Text account. If you are registering on behalf of a nonprofit, club, or league, you represent that you have authority to bind that organization to these Terms.

Account registration

You agree to provide accurate, complete, and current information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

One account per team

Each Rally Text team is associated with one primary phone number and one subscription. Multiple coaches may be added to a single team — you do not need separate accounts per coach.

4. Subscriptions & Billing

Plans

Rally Text offers four base plans:

  • Small — $17/month or $170/year. Up to 20 contacts, 1,500 messages per month included.
  • Small+ — $27/month or $270/year. Up to 20 contacts, 2,500 messages per month. Includes Absence Tracker and Calendar & Reminders bundled.
  • Main — $39/month or $390/year. Up to 100 contacts, 3,500 messages per month included.
  • Main+ — $49/month or $490/year. Up to 100 contacts, 4,500 messages per month. Includes all four feature add-ons (Absence Tracker, Calendar & Reminders, Practice Summaries, File Attachments) at a bundled discount.

Optional add-ons (Absence Tracker, Calendar & Reminders, Practice Summaries, File Attachments) are available individually on Main. Capacity add-ons (Large, Super, Message Boost) raise the monthly message allowance for higher-volume groups. Current pricing is displayed at rallytext.app/pricing.

Billing cycles

Monthly plans are billed on a recurring monthly basis beginning on the date of purchase. Annual plans are billed once per year and renew automatically. Both billing cycles can be cancelled at any time from the Stripe Customer Portal.

Dedicated phone numbers

Every paid plan includes a dedicated local phone number assigned exclusively to your team — no other teams share it. The following terms govern that number:

  • Active subscription required. Your dedicated number remains active only while your RallyText subscription is active and in good standing (Active or Trial status).
  • 5-day grace period on cancellation. If your subscription is cancelled for any reason — including non-payment, trial expiration, or voluntary cancellation — your number is placed on hold for 5 days. If you resubscribe within that window, your number is automatically restored to your account.
  • Permanent release after grace period. After the 5-day hold, the number is permanently released back into inventory and may be assigned to another team. RallyText cannot recover a number once it has been released.
  • Number portability. You may request to port your dedicated number out to another carrier at any time while your account is active. Porting takes 3–5 business days and is subject to carrier availability. RallyText is not responsible for delays or failures in the porting process caused by the receiving carrier.
  • No number ownership. Leasing a number through RallyText does not transfer ownership of that number to you. Numbers are leased from our carrier partners and are subject to their terms of service.

Messages and fair-use limits

Each plan includes a monthly message allowance (1,500 on Starter; 2,500 on Starter+; 3,500 on Pro; 4,500 on Pro+; 7,500 on Business; 12,000 on Business+/Enterprise; 20,000 on Enterprise+). Messages above the allowance are billed at $0.025 per message, automatically at month end. We send an email warning when your team reaches 80% of its monthly allowance. The Message Boost add-on (+500 msgs, stackable, $5/mo) covers one-off busy months; upgrading to a higher plan is recommended for consistently high-volume groups. See the fair-use policy for details.

Payment

All payments are processed by Stripe. By providing a payment method you authorize Rally Text to charge the applicable fees on the billing schedule you selected. Prices are in USD. Applicable taxes may be added.

5. Free Trial & Refund Policy

3-day free trial. New paid plans include a 3-day free trial. A valid credit or debit card is collected at signup through Stripe. No charge is applied during the trial; on day 4 your selected plan is auto-charged. You may cancel from your dashboard at any time during the trial to avoid the charge.

  • The free trial period is 3 days from the date of account creation
  • A payment method is required at signup; no charge is applied during the trial period
  • On day 4, the selected plan amount is auto-charged. Cancelling before day 4 avoids the charge
  • Org / league accounts (signed up at /league-signup) are billed by invoice instead — see Section 5a below
  • Payments are non-refundable except where required by applicable law
  • Add-on subscriptions that are cancelled will not be charged for the next billing period; no refund is issued for the current period
  • To request an exception, email [email protected] with the subject "Refund Request" from the email on your account

5a. Org & League Billing

Org / league accounts skip the per-team trial-and-card flow. Two modes are available at signup:

  • Umbrella — we invoice the organization for every team under it at the agreed per-team rate (default $15/team/month equivalent, billable in 6-month or 12-month terms). Invoices are net-14. Once the first invoice is paid, every team the director creates is active immediately with no per-team trial.
  • Sponsorship — the org page itself is free and there is no invoice for the organization. Each team under the org goes through the standard 3-day Stripe trial and per-team subscription described above. The org page is a roll-up dashboard only.

Refund exceptions are evaluated case by case and, if approved, are typically processed within 5–10 business days.

6. Acceptable Use

You agree to use Rally Text only for lawful, legitimate team communication purposes. You must not:

  • Send unsolicited, spam, or promotional messages unrelated to your team's sports activities
  • Harass, abuse, threaten, or harm any team member, athlete, or guardian
  • Send messages that violate any applicable law, including laws regarding minors
  • Use Rally Text to solicit funds, sell products, or conduct commercial activities unrelated to your team
  • Attempt to bypass, disable, or exploit any technical controls or compliance features of the Service
  • Share access credentials with individuals outside your authorized coaching staff
  • Transmit content that is obscene, offensive, defamatory, or otherwise inappropriate for a youth sports context
  • Use Rally Text to contact individuals who have opted out (replied STOP)
  • Impersonate another coach, team, or Rally Text itself
  • Scrape, reverse engineer, or otherwise attempt to extract Rally Text's source code or infrastructure

Violation of these rules may result in immediate suspension or termination of your account without refund.

7. SMS Messaging Terms

A2P 10DLC compliance

Rally Text operates as a registered Application-to-Person (A2P) messaging service under the CTIA and mobile carrier 10DLC framework. By using Rally Text you agree to operate within the guidelines of this framework, including:

  • Sending only messages relevant to your registered use case (youth sports communications)
  • Including the required brand prefix and opt-out language in outbound messages (Rally Text handles this automatically)
  • Not sending content that violates carrier content policies (Rally Text automatically blocks carrier-flagged phrases)
  • Maintaining accurate registration information for your team

Opt-in and consent

You are responsible for ensuring that all team members, parents, and guardians have knowingly joined your Rally Text team. Rally Text provides the verification flow, but you are responsible for ensuring only appropriate individuals are invited and added to your team roster.

Opt-out

Any recipient may reply STOP at any time to stop receiving messages from your team. You must not attempt to re-add or re-message any individual who has replied STOP, except after they have affirmatively replied START.

Message content

You are solely responsible for the content of messages you send through Rally Text. Rally Text is a conduit and is not responsible for the content of user-generated messages, except where the platform automatically adds required compliance text.

8. Messaging Limits & Overage Charges

Every plan includes a generous monthly message allowance — the limits below only apply to teams sending very high volumes. Most teams will never hit them.

What counts as a message?

Each outbound SMS segment sent to one recipient counts as one message. Inbound replies from team members also count. A single broadcast to 90 contacts = 90 messages. Carrier-required opt-out confirmations (STOP replies) do not count.

Usage tracking

Your current month message count is visible in your dashboard. Rally Text resets the counter on the 1st of each calendar month. You will receive an email alert when your team reaches 80% of the monthly allowance, with options to add capacity before charges apply.

Overage charges

If your team exceeds its monthly message allowance, overage messages are charged at $0.025 per message and billed automatically at the start of the following month via Stripe. Overage charges are non-refundable unless caused by a platform error.

Large add-on

Groups with 100 or more members, or any business team communicating daily, should add the Large add-on (+$45/mo). This raises your monthly message limit to 7,500 and is the most cost-effective option for high-frequency programs. The Large add-on is available from your dashboard Settings.

Avoiding overages

If your group regularly approaches its limit, the most cost-effective option is the Message Boost add-on ($5/mo for +500 messages, stackable) or the Large add-on ($45/mo for 7,500 total). Per-message overage at $0.01 each adds up quickly — the add-on is significantly cheaper at high volume. You will always receive a warning before any overage charges are incurred.

9. Safe Sport, Minor Protection & Content Safety

Rally Text is designed for youth sports teams and includes built-in Safe Sport protections. You acknowledge and agree to the following:

  • No direct athlete messaging. Rally Text's auto-CC feature ensures every message directed at a minor athlete automatically includes a verified parent, guardian, or another adult participant. You agree not to attempt to circumvent this feature. See the US Center for SafeSport guidelines ↗.
  • Appropriate content only. All messages must be appropriate for a youth sports context. Content must comply with your organization's Safe Sport policies and applicable laws protecting minors. This includes prohibitions on bullying, harassment, discriminatory language, and any sexual or romantic communication involving minors.
  • Authorized staff only. Only background-checked, authorized coaching staff should have access to coach accounts. You are responsible for managing access when staff changes occur.
  • Audit log. Rally Text maintains message logs for compliance purposes. You agree that these logs may be used in the event of a Safe Sport investigation or regulatory review.
  • Mandatory reporting. If you become aware of abuse, threats, or conduct that requires reporting under your organization's Safe Sport policy or applicable law, you are obligated to report it through the appropriate channels — including the US Center for SafeSport (uscenterforsafesport.org) and local authorities if required. Rally Text's safety tools do not substitute for these obligations.

Automated Content Moderation

Rally Text uses automated content moderation to help protect athletes, families, and coaches from harmful communications on the platform.

RallyText's automated moderation system scans inbound messages for content that may violate these Terms or Safe Sport standards, including:

  • Threats of violence or harm against any person
  • Sexual content or grooming behavior — especially any such content directed at or involving minors
  • Bullying, targeted harassment, or sustained personal attacks
  • Discriminatory language based on race, religion, gender, sexuality, disability, or national origin
  • Inappropriate private communications from coaching staff to athletes that violate Safe Sport boundaries

When a message is flagged:

  • The sender's account is automatically suspended from sending further messages
  • The team's head coach and team director are notified immediately by SMS and email
  • Our platform safety team is alerted and reviews every flagged incident
  • The incident is logged for compliance and reporting purposes

You agree not to use Rally Text to send content that would be flagged by these systems. Repeated violations, or any single severe violation (threats, sexual content involving minors), will result in immediate permanent termination of the account without refund.

Rally Text's compliance features supplement, but do not replace, your organization's Safe Sport training, policies, and mandatory reporting obligations.

10. Intellectual Property

Rally Text's IP

The Rally Text platform, including its software, design, trademarks, logos, and documentation, is owned by Frequency 42 LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from Rally Text's materials without our written permission.

Your content

You retain ownership of the messages and content you send through Rally Text. By using the Service you grant Rally Text a limited, non-exclusive license to store, process, and transmit your content solely as necessary to provide the Service. We do not claim ownership of your messages.

Feedback

If you provide feedback or suggestions about Rally Text, you grant us the right to use that feedback without restriction or compensation to you.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Rally Text does not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • Messages will be delivered within any specific timeframe or at all (carrier delivery is subject to third-party factors outside our control)
  • The Service will meet your specific requirements
  • Any defects or errors will be corrected

SMS delivery is subject to mobile carrier availability, signal conditions, and carrier policies. Rally Text is not responsible for messages delayed or undelivered due to carrier issues.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RALLY TEXT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL RALLY TEXT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID RALLY TEXT IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Frequency 42 LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service in violation of these Terms
  • Messages you send through the Service
  • Your violation of any applicable law or third-party rights
  • Any misrepresentation you make in connection with the Service

14. Termination

By you

You may cancel your Rally Text subscription at any time from the dashboard or by emailing [email protected]. Cancellation stops future billing. Refunds follow the Refund Policy above.

Before you cancel — our support team is available 24/7. If you're running into a problem, have a question, or just need help getting set up, please reach out to us at [email protected] before cancelling. We'd love the chance to help resolve any issues first. Most problems can be fixed in minutes.

We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated these Terms, including the Acceptable Use Policy or Safe Sport requirements. We will provide notice where reasonably practicable. Termination for cause does not entitle you to a refund.

Effect of termination

Upon termination, your access to the Service and your team's data will end. We will retain your data for 30 days following termination, after which it will be deleted except where retention is required by law. You may request a CSV export of your attendance records from the dashboard at any time before your account is closed; for other data export requests, contact us at [email protected].

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Marquette County, Michigan, and you consent to personal jurisdiction in those courts.

Before initiating formal legal proceedings, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by sending an email to the address on your account at least 14 days before the changes take effect. The updated Terms will also be posted at this URL.

Continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you disagree with the updated Terms, you may cancel your account before the effective date.

These Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and Frequency 42 LLC regarding the Service. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
